1. Agreement to Terms

These Terms of Agreement ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”, "Client"), and MW Experiences ("MWE", "we", "us", or "our"), concerning your access to and use of the mwexperiences.com website, as well as any related booking, event planning, and travel services we provide (collectively, the "Services").

By accessing the website, paying an invoice, or booking our Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the site and our services.

2. Our Services

MWE is a premium event planning company specializing in curated experiences, premium event access, and travel arrangements.

Please note that in many instances, MWE acts as an independent agent or intermediary to procure tickets, private suites, hotel accommodations, and travel arrangements from third-party suppliers (e.g., event organizers, ticket brokers, airlines, and hotels).

3. Bookings, Pricing, and Payments

  • Pricing & Quotes: All quotes provided for custom experiences, premium tickets, and travel are subject to availability and may change without notice until payment is received and the booking is confirmed in writing.

  • Deposits & Payments: A deposit is always required to initiate our sourcing and booking process. Depending on the specific event, timeline, and third-party supplier requirements, full payment may be required upfront.

  • Payment Processing: Payments are processed securely via our designated payment processors or via direct invoice. By providing payment information, you represent and warrant that you have the legal right to use the payment method provided.

4. Chargebacks and Payment Disputes

By making a payment to MWE, you agree not to file a chargeback, dispute, or reversal of charges with your credit card company or bank for legitimate, authorized transactions.

  • If you have an issue with our Services, you agree to contact us directly to seek a resolution.

  • If you initiate a fraudulent, unmerited, or unauthorized chargeback for services rendered or tickets secured, we reserve the right to immediately cancel your booking without notice and pursue legal action or third-party collections to recover the disputed amount, along with any administrative, bank, or legal fees incurred by MWE as a result of the dispute.

5. Cancellations and Refunds

Due to the exclusive, high-demand, and time-sensitive nature of premium event planning, our refund policy is strictly enforced to protect both our clients and our business operations:

  • Failure to Source: If you have paid a deposit or full payment and we are ultimately unable to source or secure your requested tickets, venue, or experience, you will receive a full refund of the amount paid.

  • Secured Bookings: Once an event, ticket, or travel arrangement has been successfully secured and confirmed by us, all sales are final. Any requests for cancellations or refunds after this point will be reviewed on a case-by-case basis and granted entirely at MWE's sole discretion.

  • Event Cancellations & External Circumstances: If an event is completely canceled by the organizer, or if it cannot proceed due to circumstances outside of normal cancellation parameters (e.g., Force Majeure, venue closure), MWE will make reasonable efforts to secure a refund from the third-party supplier on your behalf. In these instances, any approved refunds returned to you will be issued minus our non-refundable service and planning fees, to cover the labor and resources already expended.

  • Out-of-Pocket Liability: MWE is not liable for, and will not pay out-of-pocket for, refunds that third-party vendors refuse to issue.

6. Third-Party Suppliers and Fulfillment

MWE curates experiences by partnering with trusted third-party vendors. However, we do not own, operate, or control these independent suppliers.

  • We are not liable for the acts, errors, omissions, representations, warranties, breaches, or negligence of any third-party suppliers.

  • We are not responsible for any personal injuries, death, property damage, or other damages or expenses resulting from your interactions with third-party vendors, venues, or travel providers.

  • Your participation in events and travel is subject to the terms, conditions, and waivers required by those specific vendors and venues.

7. Client Responsibilities

  • Accuracy of Information: You agree to provide current, complete, and accurate information for all bookings.

  • Travel Documentation: For international experiences, you are solely responsible for ensuring you have valid passports, visas, and any necessary health documentation or vaccinations required for entry.

  • Conduct: You agree to abide by the rules, regulations, and dress codes of any event venue, hotel, or transportation service we book for you. We reserve the right to terminate our services without refund if your behavior is deemed disruptive, illegal, or violates venue policies.

8. Limitation of Liability and Assumption of Risk

To the fullest extent permitted by law, MWE and its directors, employees, and agents shall not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of our Services.

Force Majeure: MWE shall not be held liable for any delay, cancellation, or failure to perform our obligations due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, strikes, or governmental restrictions.

9. Indemnification

You agree to defend, indemnify, and hold MWE, our affiliates, partners, officers, and employees harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; or (4) any reckless, destructive, or illegal acts committed by you or your guests during an event, travel experience, or at a venue booked through MWE.

10. Intellectual Property Rights

Unless otherwise indicated, the website mwexperiences.com and its original content, features, and functionality are the property of MWE and are protected by international copyright, trademark, and other intellectual property or proprietary rights laws.

11. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and MWE regarding the use of the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

  • Severability: If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

  • Governing Law and Dispute Resolution: These Terms and your use of our Services are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles. Any legal action or proceeding shall be instituted exclusively in the provincial or federal courts located in Toronto, Ontario.

12. Modifications to Terms

We reserve the right to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms. You are encouraged to periodically review these Terms to stay informed of updates.
